Terms of Service

Overview

The website www.AccountEdge.ca (hereinafter the "Site" is owned and operated by Info L inc for the sole and exclusive use of Canadian Certified Consultants as accredited by Acclivity LLC. This service contract (hereinafter the "Contract") is between Info L inc and you, the applicant, (hereinafter the "Client"), who wishes to list their business and\or obtain an expanded listing (hereinafter a "Mini Site") on the Site.

Relationship Between Info L inc And The Client

a) Info L inc will use its best efforts to maintain a full time 24/7 Internet presence for the Site and the Client's listing and/or Mini Site

b) This contract represents the complete understanding between the Client and Info L inc.

Relationship With Acclivity LLC

Info L inc makes no representation that Acclivity LLC legally or otherwise endorses the Site. Notwithstanding this, Acclivity LLC is aware of our existence and activities, and Info L inc and Acclivity LLC actively communicate with each other regarding Site membership and certain activities to ensure we are aligned in our objectives of providing support for Canadian Certified Consultants of Acclivity LLC products.

Interruptions In Service

The client acknowledges that Info L inc uses a services provider (hereinafter the "Service Host" ) to host the Site, and agrees not to hold Info L inc liable for any errors or interruption in service, whether within or outside of Info L inc's reasonable control. The client understands interruptions may or may not occur and the client will hold Info L inc free and harmless from any damages incurred in any event of any time of loss. Service may be temporarily unavailable for scheduled maintenance, either by Info L inc, by the Service Host, or by third-party providers, or because of power interruptions or other causes.

Listing And Mini Site Content

The Client will provide all necessary information and content for their listing and\or their Mini Site and agree not to provide any material that infringes copyright, trade mark rights, or other rights not owned or licensed by them or not authorised for use by them. Any Client found to be in violation of anothers' copyright will have their listing and\or Mini Site removed, or access to the material disabled. Any Client found to be in repeated violation of copyright or trade mark or other intellectual property laws will be suspended and/or terminated from our service.

Warranty and Assumption of Risk

The Client uses Info L inc services at Client's own risk. Info L inc makes no warranty expressed or implied, including but not limited to any warranty of merchantability or fitness for a particular purpose. Info L inc shall not be liable for any loss or other damage, including but not limited to special, incidental, consequential, or punitive damages, resulting from any provision or failure to provide service or from any termination of service.

Term of Contract, Termination, Renewal and Invoicing

a) All contracts are on a recurring basis. Client shall pay Info L inc set up fees and annual hosting fees, in advance which will be due when invoiced. The loss of accredited CC status, and\or amounts past due may result in the termination of the Client's listing and\or Mini Site. All services, taxes, special charges and third party charges will be stated separately on the invoice. Info L inc may change prices without notice and offer special pricing to Grandfathered accounts, defined as that group of accredited Certified Consultants originally listed on myobhelp.ca and who were paid up when the Site first launched.

b) Once a listing or Mini Site is approved by the Client, the Client shall pay a quoted amount for subsequent changes, in advance. Minor revisions, error corrections and Site changes not related to listings or Mini Sites will not be charged to the Client.

c) All cancellations by the Client of service or changes in service must be done in writing to Info L inc must be done in writing and may be sent by email to one of iaccountant@sympatico.ca or infolinc@sympatico.ca, or via regular mail to Info L inc, 120 Meadowbank Rd, Etobicoke, Ontario M9B 5E5.
d) An initial 60 day, no questions asked, money back guaranty is provided for all Mini Site set up and annual hosting fee. If service is cancelled after 60 days, and before 8 months of initial service or any renewal period thereafter, hosting fees will refunded on a prorated basis of any unused time. After 8 months of initial service or any renewal period thereafter, any cancellation is ineligible for a refund. Initial or annual fees paid for basic listings are non refundable under any circumstance.

e) If Client breaches any part of this contract and Info L inc has to engage legal representation, the Client will pay any and all of Info L inc's reasonable legal, court and or remedy costs.

Limitation of Liability

In no event shall Info L inc or any of its officers, contractors, or employees be liable for any loss of profit or revenue by Client for any consequential, incidental, special or exemplary damages incurred or suffered by Client, even if Info L inc has been advised of the possibility of such loss or damage.

Changes

Info L inc reserves the right to revise its policies and terms without notice. Client is bound by changed policies on their effective date, and changed service terms upon renewal of their listings.
